PARENT PARCEL TERMS AND CONDITIONS

Definitions

In these User Terms and Conditions and Service Provider Terms and Conditions:

App” is a reference to the Parent Parcel app.
Claim” means any claims, demands, proceedings, actions, suits, damages, differences, notices, complaints, losses, expenses and liabilities, whether legal or equitable, under statute or otherwise of whatever nature and howsoever arising.
Offer” or “Offers” is a reference to any offers by Service Providers made available from time to time via the App or the Website. Offers by Service Providers must be exclusive to Parent Parcel unless otherwise decided by Parent Parcel.
Parent Parcel” is a reference to Parent Parcel Pty Ltd trading as Parent Parcel.
Service Provider” means any third party provider of goods or services the subject of an Offer from time to time.
Membership” means an annual membership to access and redeem the Offers made available on the App and / or Website from time to time.
Membership Fee” means the annual fee payable to Parent Parcel by a User in order to access and redeem the Offers made available on the App and / or Website from time to time.
Website” is a reference to the Parent Parcel website: www.parentparcel.com.
User” is a reference to a person who purchases a Membership and/or uses the App or Website.

User Terms and Conditions

By purchasing the App or accessing the Website, the User acknowledges and agrees that:

  1. Applicability: These User Terms and Conditions regulate the use of the App and the Website by Users.
  2. Terms and Conditions: Parent Parcel may amend or replace these Terms and Conditions at any time without notice to Users.  Such changes will take effect on and from the implementation of the changes.
  3. Offers: Offers made available on the App or Website may be subject to further terms and conditions.  To the extent of any inconsistency between such further terms and these Terms and Conditions, the further terms shall prevail.
  4. Offers may change: The Offers made available on the App or Website from the participating Service Providers may change from time to time.  Users must not bring any Claim against Parent Parcel in relation to the nature or availability of Offers on the App or Website or the participating Service Providers.
  5. Subject to availability: All Offers are strictly subject to availability.  Parent Parcel does not guarantee the availability of any Offers, and Users must not bring any Claim against Parent Parcel in relation to the same.
  6. No warranties: Parent Parcel makes no warranty or representation (and gives no endorsement) in relation to the quality, merchantability, suitability, standard, or fitness for purpose of any Offers offered by Service Providers from time to time.  Any warranties or guarantees offered in relation to the Offers are those of the related Service Provider and not of Parent Parcel.
  7. No liability: To the maximum extent permitted by law, Parent Parcel will not be liable to Users for any Claims arising directly or indirectly out of the User’s use of any Offer (including but not limited to Claims arising out of the matters set out under clause 6, and Claims relating to injury to persons or property, illness or death arising directly or indirectly out of the goods or services provided by a Service Provider pursuant to an Offer), which Claims shall lie solely against the relevant Service Provider.
  8. Membership Fee:  The Membership Fee is payable by a User in order to access and redeem Offers made available on the App and / or Website.  The Membership Fee is non-refundable except as required by law.  Parent Parcel may, at its sole discretion, increase or decrease the Membership Fee at any time.  For existing Users, the new price will come into effect upon the User entering a new Membership period (see clause 11).  Users accept the new price by continuing to use the App and / or Website after the price change takes effect.  If a User does not agree with the price changes, the User may to reject the change by cancelling the Subscription prior to the automatic renewal.
  9. Period of Membership: Payment of the Membership Fee in the manner provided for in clause 8 of these User Terms and Conditions grants the User 12 months’ access to the Offers made available on the App and / or Website from time to time.
  10. Payment of Membership Fee: Secure payments for the Membership Fee can be made securely via the Website with a credit card. The charge will appear on the User’s credit card statement as “Parent Parcel Pty Ltd”.  All prices quoted on the Website and App are in Australian dollars and are inclusive of GST.  A conversion fee may be applied by the User’s bank or financial institution on top of the transaction for orders in other currencies to be born at the User’s expense.  These rates and fees are set by the User’s bank or financial institution and we accept no responsibility for any loss caused as a result.
  11. Automatic renewal of Membership Fee: Unless the User cancels their Membership before the end of the current Membership period, the Membership will automatically renew for a further 12 months and the Membership Fee for the next 12 months will be charged to the User.  Users will receive a push notification via the App and / or an email no less than 30 days before the end of a Membership period, advising the User of the above and providing instructions on how to cancel their Membership.
  12. Intellectual Property: All intellectual property rights in or in relation to Parent Parcel, the Offers, and all other such rights in connection with the App and Website are owned by Parent Parcel. The User agrees that the User will not (whether alone or in conjunction with any other person/s) copy or reproduce any aspect of the Offers, the App, or the Website or authorise or instruct any third party to do the same.
  13. No Agency:  Parent Parcel is not an agent or partner for any of the Service Provider or any other third party.  Parent Parcel is not affiliated with, and does not endorse, any Service Providers.
  14. Exclusion of consequential losses: No Claims for consequential or indirect losses (including but not limited to loss of profits) may be brought against Parent Parcel.
  15. Third party content: The App or the Website may contain links to other apps or websites that are owned and operated by third parties.  Parent Parcel is not responsible for the operation of or content located on or through any such app or website.
  16. Non-transferability: The barter, trade, sale, purchase, publishing or transfer of any Offer is strictly prohibited, unless expressly authorised by Parent Parcel.
  17. No commercial use: No content contained on the App or the Website may be used by the User for commercial purposes without the written permission of Parent Parcel.
  18. Privacy: Use by the User of the App or Website shall be subject to Parent Parcel’s Privacy Policy.
  19. Governing Law: These Terms and Conditions are exclusively governed by and will be construed in accordance with the laws of Western Australia.

Service Provider Terms and Conditions

  1. Acceptance of Terms: The Service Provider agrees to be bound by these Service Provider Terms and Conditions upon: (i) advising Parent Parcel that it agrees to be bound by them; (ii) approving the terms of an Offer for inclusion in the App or on the Website; or (iii) otherwise by conduct deemed by Parent Parcel to be in acceptance of these Service Provider Terms and Conditions.
  2. Offers: Any Offer to be made available on the App and/or Website must be agreed as between the Service Provider and Parent Parcel prior to its release for redemption by Users.  Parent Parcel may refuse to list any prospective Offer/s at its sole discretion for any reason whatsoever, including if the Offer/s are no longer exclusive to Parent Parcel.
  3. Liability for Offers:  The Service Provider shall be solely liable to Users in relation to their use of the goods/services the subject of an Offer and any Claims brought by any Users (whether against Parent Parcel and/or the Service Provider) arising directly or indirectly out of the same (including but not limited to Claims relating to injury to persons or property, illness or death).
  4. Indemnity:  The Service Provider must indemnify and keep indemnified Parent Parcel in relation to any Claims brought against Parent Parcel by any User in relation to the use of the Service Provider’s goods/services the subject of any Offer.  Such indemnity shall extend to any losses or expenses sustained by Parent Parcel (including legal costs) as a result of any such Claims.
  5. Intellectual Property: All intellectual property rights in or in relation to Parent Parcel, the Offers, and all other such rights in connection with the App and Website are owned by Parent Parcel.  The Service Provider must not (whether alone or in conjunction with any other person/s) copy or reproduce any aspect of the App or the Website or authorise or instruct any third party to do the same.
  6. No Agency:  Nothing in these Terms and Conditions creates a relationship of agency as between the Service Provider and Parent Parcel.
  7. Exclusion of consequential losses: The Service Provider must not bring any Claims for consequential or indirect losses (including but not limited to loss of profits) against Parent Parcel.
  8. Governing Law: These Terms and Conditions are exclusively governed by and will be construed in accordance with the laws of Western Australia.
  9. Notice Period: Parent Parcel requires that all Service Providers give minimum 4 weeks’ notice if they wish to remove their business and / or offer from the App and no longer be listed.
  10. AHPRA: The Service Provider must indemnify and keep indemnified Parent Parcel in relation to any Claims brought against Parent Parcel by AHPRA in relation to any potential breach of AHPRA’s advertising guidelines. Such indemnity shall extend to any losses or expenses sustained by Parent Parcel (including legal costs) as a result of any such Claims.
